Terms.

These Terms of Service ("Terms") govern your access to and use of services provided by WebsiteDelivered LLC ("we," "our," or "us"). By using our services, you agree to these Terms.

1. Services

We provide managed website design, hosting, domain registration, email services, and related technology services. Specific services and deliverables are described on our website and in your service agreement.

2. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Subscription & Billing

• Auto-renewal: Subscriptions auto-renew annually unless cancelled at least 24 hours before the renewal date
• Payment: Fees are charged to your payment method on file via Stripe
• Failed payments: If a payment fails, we will retry up to 4 times. After repeated failures, we may suspend or terminate your service
• Price changes: We will provide at least 30 days’ notice before any price increase
• Taxes: Fees are exclusive of applicable taxes, which you are responsible for paying

4. Cancellation & Refunds

You may cancel your subscription at any time through your client portal or by emailing us. Cancellation takes effect at the end of your current billing period.

Refund policy: All fees are non-refundable except where required by law. You may cancel at any time and your service continues through the end of the paid period. Domain registrations and custom development work are not eligible for refunds.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Distribute malware, phishing content, or spam
• Infringe on third-party intellectual property rights
• Attempt to gain unauthorized access to our systems
• Resell our services without written permission
• Host adult content, gambling, or illegal content

We reserve the right to suspend or terminate accounts that violate these terms.

6. Content Ownership

You retain ownership of all content you provide to us (text, images, logos, etc.). You grant us a license to use that content solely to provide the services. We retain ownership of our underlying technology, templates, and infrastructure.

7. Domain Names

Domain registrations are handled through Dynadot. You are the legal registrant of any domain we register on your behalf. Domain renewals are included in your annual subscription. If your subscription ends, domain renewal is your responsibility.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by third-party services (Cloudflare, AWS, Stripe, etc.).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless WebsiteDelivered LLC and its affiliates from any claims arising from your use of the services, your content, or your violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for material breach of these Terms, illegal activity, or non-payment. Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive (payment obligations, indemnification, limitation of liability) will survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.
